Biography

Marne Woods, J.D. – Corporate Counsel
Marne Woods, J.D., is responsible
for providing legal review and
advice regarding contract-related
and corporate activities. Ms. Woods
collaborates with senior management
to implement company policies and
protections, including developing a
trade secret protection program, a
conflict of interest avoidance plan,
an employee handbook, and a code of
business ethics and conduct. She has
improved business efficiency by
developing a contracting process and
model agreements. She advises Human
Resources and senior management on
employment law issues, including
discrimination, wage and hour
compliance and employee misconduct
investigations. She advises the
board of directors and executive
management on corporate legal and
regulatory issues.
Ms. Woods' responsibilities also
include drafting, reviewing, and
negotiating healthcare and
technology contracts, subcontracts,
change orders, and amendments with
state and federal agencies for
protection of company’s contractual
position and compliance with
applicable laws and regulations. She
oversees and provides employee
training on contract administration
and risk management. She assists
proposal teams with analysis of
requests for proposals, proposal
development, and protection of
company confidential information
under state freedom of information
laws. She assists in resolving
disputes with clients and other
vendors regarding contract terms and
performance.
Before joining FOX, she was
Assistant Attorney General for the
State of Iowa, Department of Justice
for 12 years. In this position, she
represented the Department of Human
Services (DHS), which is the largest
state government health and human
services agency. Ms. Woods advised
DHS on the operation of the Medicaid
program and the procurement of
services and represented the agency
in administrative and judicial
actions. She was also a Law Clerk
responsible for researching and
drafting legal opinions in federal
district court and an Iowa appellate
court.
Ms. Woods graduated from Drake
University Law School in Des Moines,
Iowa, with a Juris Doctorate, with
honors including The Order of the
Coif, American Jurisprudence Awards
in Appellate Practice and Procedure,
Business Associations, and Labor
Law; H. G. Cartwright Award for Best
Note; and Finalist, Moot Court
Competition.
